These terms are a binding contract between you and Leadonix. By creating an account, starting a trial or subscribing, you agree to them. If you do not agree, do not use the service. Sections 13 to 17 limit our liability and require most disputes to be resolved by individual arbitration rather than in court, so please read them.
Leadonix helps you find local businesses that may need your services. For each search we look up businesses on publicly available map listings, visit their public websites, score them against fixed criteria, and generate a suggested outreach message. All of the business information we show is publicly available information about businesses, not private personal data we have purchased.
Leadonix is a research and drafting tool. It does not send messages for you, it does not contact anyone on your behalf, and it is not a marketing, legal, tax or professional advice service.
Cancelling is never harder than subscribing. You can cancel at any time from inside the app, in the same number of steps it took to sign up, with no phone call, no email and no retention process. Cancellation takes effect at the end of your current billing period: you keep access and your remaining searches until then, and you are not charged again.
Because the service costs us money for every search you run, payments are non-refundable and we do not refund partial months or unused searches. If something went wrong on our end, contact us and we will deal with it fairly. Nothing here affects any refund right you have under the law of your home jurisdiction that cannot be waived.
Limits exist so one account cannot exhaust shared resources: 20 searches a month, a maximum of 5 searches a day, and a short-term limit on rapid repeated searches. We may suspend accounts that attempt to bypass these limits, share credentials, or automate the service.
Free trials are limited to one per person. We use signals such as payment card and network information to detect repeated trials, as described in the Privacy Policy.
You agree not to:
Breaching this section is a material breach and your right to use Leadonix ends immediately.
You are solely responsible for how you contact the businesses you find, and for the content of every message you send. You agree to follow all laws that apply to your outreach, in your own country and in the recipient's, including CAN-SPAM and state email statutes in the US, the Washington Commercial Electronic Mail Act, CASL in Canada, PECR and UK GDPR in the UK, and GDPR in the EU.
We give you a suggested draft. You decide whether to send it, who to send it to, and what it says. Once you export or act on a lead you are independently responsible for that data and for your use of it.
Lead information comes from third-party sources and public websites, and the scores and suggested messages are generated automatically from fixed rules. Information may be out of date, incomplete or wrong. We provide it as is and you should verify anything important before acting on it.
We do not promise results. We make no representation about how many leads you will reach, how many will reply, how many will become customers, or how much money you will make. Nothing on our website, in our advertising, or in any demonstration is a guarantee of earnings or outcomes. Any figures you see are illustrative. Your results depend on your market, your offer and your own effort.
We aim to keep Leadonix running but do not promise uninterrupted service. The service depends on third parties for hosting, payments and data, and may be unavailable for maintenance or for reasons outside our control. We may change, suspend or discontinue features at any time, and we are not liable to you for doing so.
Leadonix, including its software, design, text and brand, belongs to us and is protected by copyright and trademark law. You get a limited, non-exclusive, non-transferable, revocable right to use the service for your own business while your subscription is active, and nothing more. All rights we do not expressly grant are reserved.
If you send us feedback, ideas or suggestions, you agree we may use them freely, for any purpose, with no obligation or payment to you. Please do not send us anything you consider confidential.
We may suspend or close an account that breaks these terms, abuses the service, or creates risk or legal exposure for us or for other users, and we may do so without notice where the breach is serious. You can close your account at any time. See the Privacy Policy for what happens to your data. Sections 7, 8, and 12 to 18 survive termination.
Leadonix links to and relies on services and websites we do not control, including the business websites shown in your results. We do not review, endorse or take responsibility for them, their content, their accuracy or their privacy practices. Visiting them is at your own risk, and their terms apply once you leave Leadonix.
THE SERVICE IS PROVIDED ON AN AS IS AND AS AVAILABLE BASIS, AND YOUR USE OF IT IS AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE OR ERROR FREE, THAT ANY DEFECT WILL BE CORRECTED, OR THAT ANY LEAD, SCORE, CONTACT DETAIL OR SUGGESTED MESSAGE IS ACCURATE, CURRENT, COMPLETE OR SUITABLE FOR YOUR PURPOSE. Some jurisdictions do not allow the exclusion of implied warranties, so parts of this section may not apply to you.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER LEADONIX NOR ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS OR SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFIT, LOST REVENUE, LOST BUSINESS, LOST GOODWILL, LOST OR CORRUPTED DATA, OR THE COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO THE SERVICE, EVEN IF WE HAVE BEEN ADVISED THAT SUCH DAMAGES ARE POSSIBLE, AND REGARDLESS OF THE THEORY OF LIABILITY.
IN NO EVENT WILL OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE, TAKEN TOGETHER, EXCEED THE TOTAL AMOUNT YOU ACTUALLY PAID US IN THE TWELVE (12) MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE FIRST CLAIM. IF YOU HAVE PAID US NOTHING, OUR TOTAL LIABILITY IS ZERO.
These limits apply to every claim, including claims about the accuracy of lead data, about messages you sent, about downtime, and about loss of data. Each party agrees that these limits are a fundamental part of the bargain and that the price of the service reflects them. Nothing in this section limits liability that cannot legally be limited, including liability for fraud, for wilful misconduct, or for death or personal injury caused by negligence. Some jurisdictions do not allow these limits, so parts of this section may not apply to you.
Time limit on claims. Any claim relating to the service must be brought within one (1) year after it arises, except where a longer period is required by law. After that, the claim is permanently barred.
You agree to defend, indemnify and hold harmless Leadonix and its owners, officers, employees, contractors and suppliers from and against any claim, demand, investigation, loss, liability, damage, fine, penalty, cost or expense, including reasonable legal fees, arising out of or relating to:
We may take over the defence of any such matter at your expense, and you agree to cooperate with us. We will try to tell you about the claim once we know of it. You may not settle any matter in a way that imposes an obligation on us without our written consent.
Read this section carefully. It affects how claims between us are resolved and it gives up your right to a jury trial and to participate in a class action.
Step 1: informal resolution. If you have a dispute with us, you agree to contact us first at support@leadonix.com with a written description of the dispute and the relief you want, and to try in good faith to resolve it informally for at least 30 days before starting arbitration. Most problems are fixed at this step. This step is a condition of starting arbitration, and the time limit in section 14 pauses while it runs.
Step 2: binding individual arbitration. If we cannot resolve it, any dispute arising out of or relating to these terms or the service will be settled by final and binding arbitration, administered by the American Arbitration Association under its Consumer Arbitration Rules, before one arbitrator. The seat of arbitration is King County, Washington and the proceedings will be in English. The arbitrator decides all issues, including the scope and enforceability of this section. Either party may appear by phone or video, and the arbitrator may award only the relief a court could award to you individually. Judgment on the award may be entered in any court with jurisdiction. The Federal Arbitration Act governs this section.
No class actions. To the fullest extent permitted by law, all claims must be brought individually. You and we each waive any right to bring or participate in a class, collective, consolidated or representative action, to act as a class representative, or to have claims joined with anyone else's, and the arbitrator may not consolidate claims or preside over any form of class proceeding. You and we each also waive any right to a jury trial. If this class action waiver is found unenforceable as to a particular claim, that claim alone is severed and must be brought in court, and the rest of this section still applies to all other claims.
Exceptions. Either of us may bring a claim in small claims court instead, if it qualifies and stays there on an individual basis. Either of us may also go to court for an injunction or other equitable relief to protect intellectual property, confidential information, or to stop unauthorised access to or misuse of the service. Nothing here stops you from reporting a concern to a government agency.
These terms and your use of the service are governed by the laws of the State of Washington, United States, and by applicable US federal law, without regard to conflict of law rules and excluding the UN Convention on Contracts for the International Sale of Goods. For any dispute that is not subject to arbitration under section 16, you and we agree to the exclusive jurisdiction of the state and federal courts located in King County, Washington, and each of us waives any objection to venue there. Nothing in this section removes a consumer protection right in your home jurisdiction that cannot be waived by contract.
Leadonix is operated from the United States. We make no representation that the service is appropriate or available in other locations, and if you use it from elsewhere you do so on your own initiative and are responsible for complying with your local law. The service is not designed for use with regulated data under HIPAA, GLBA, FISMA or similar regimes, and you may not use it in a way that would make those laws apply to us.
We may update these terms. The date at the top always reflects the current version. If a change is material we will notify you by email or in the app before it takes effect, and continuing to use Leadonix after that means you accept the new terms. If you do not accept them, cancel before they take effect. A change to section 16 will not apply to a dispute we already knew about.
Questions, complaints and any notice you need to give us under these terms go to support@leadonix.com, including the written notice that starts the informal resolution step in section 16. California residents may also contact the Complaint Assistance Unit of the California Department of Consumer Affairs at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by phone at (800) 952-5210.
